Terms of Use & Engagement
These terms govern your use of grvgroup.us (the “Website”) and set out the general terms on which GRV GROUP OF COMPANIES LLC, a Wyoming limited liability company (“GRV,” “we,” “us”), provides its services. By using the Website you agree to these terms. A signed engagement agreement or letter with a client (an “Engagement Agreement”) takes precedence over these terms where they conflict.
1. Nature of our services
We provide independent financial, corporate and tax-structure analysis of transactions that a client is considering, together with a written recommendation and related consultations. We perform our work remotely and in English.
2. What we are not
- We are not a law firm and do not practice law. We do not hold, and do not claim to hold, any license to practice law or to provide any regulated advisory service.
- We are not a certified public accounting firm. We do not provide public accounting, audit, review, compilation or other attest services, and we do not prepare or file tax returns or represent taxpayers before any tax authority.
- We are not a broker-dealer, investment adviser, valuation or appraisal firm, bank or money transmitter. We do not give investment advice or recommend that you buy, sell or hold any security or asset.
- We are not a broker, intermediary or agent. We do not search for or introduce counterparties, do not negotiate on a client’s behalf, and do not hold or handle client funds.
Our conclusions are a professional analytical opinion. They are not an audit, a legal opinion, a valuation, tax advice for filing purposes, or investment advice. Tax and regulatory observations are general in nature and do not address the specific laws of every jurisdiction. You should obtain advice from appropriately licensed professionals in the relevant jurisdiction before acting.
3. No engagement through the Website
Information on the Website is general and informational. Sending us a request, an email or a form does not create a client relationship or any obligation on our part. A client relationship arises only when we both agree in writing to an engagement and its scope and fees. We may decline or end any engagement at our discretion, including where we cannot satisfy ourselves about identity, sanctions status, the lawful source of funds, or the legitimacy of the transaction.
4. How an engagement works
The client submits a request describing the project. We verify the client and the transaction using open sources, collect the necessary information, carry out the analysis, give a recommendation orally and in writing, and close the engagement with an acceptance act. Scope and fees are agreed individually in the Engagement Agreement.
5. Client responsibilities
- You will provide complete, accurate and timely information and documents, and you are responsible for their accuracy and for your right to share them with us. Unless the Engagement Agreement says otherwise, we rely on the information you give us and do not independently verify it.
- You make every decision about the transaction. You are responsible for the decision to proceed or not to proceed, whatever our recommendation.
- You will not use our work for any unlawful purpose.
6. Our work product and reliance
Our written recommendation is prepared solely for the client, for the specific transaction and on the information and assumptions stated in it. It speaks as of its date, and we have no duty to update it unless we agree to do so in writing. No third party may rely on it, and it may not be disclosed to others without our written consent, except as required by law.
7. Confidentiality
We keep client information and transaction details confidential, we do not publicly identify our clients, and we use client information only to perform the engagement. This does not apply to information that is public through no fault of ours, that we already lawfully held, or that we must disclose by law or legal process, in which case we will, where lawful and practicable, notify the client.
8. Fees
Fees are agreed individually for each engagement and stated in the Engagement Agreement. Nothing on the Website is an offer at a fixed price.
9. Intellectual property
The Website, its content and the GRV name and logo are owned by or licensed to GRV and are protected by law. You may view and share pages of the Website for your own non-commercial use, but you may not copy, modify or exploit them otherwise without our written permission. Subject to payment, a client may use our written recommendation for its own internal purposes in connection with the transaction it concerns.
10. Acceptable use of the Website
You will not misuse the Website, attempt to gain unauthorized access, interfere with its operation, or use it to send unlawful or harmful material.
11. Disclaimer of warranties
The Website is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that our analysis will be free of error or will lead to any particular result, and we do not guarantee any financial, commercial or tax outcome of any transaction.
12. Limitation of liability
To the fullest extent permitted by law, GRV will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business or opportunity, arising out of or related to the Website or our services. Our total aggregate liability for any claim arising out of an engagement will not exceed the fees you paid to us for that engagement. Nothing in these terms excludes liability that cannot be excluded under applicable law.
13. Indemnification
You will indemnify and hold harmless GRV and its members, managers and personnel from claims, losses and expenses, including reasonable legal fees, arising from information you provide, from your use of our work product contrary to these terms, or from your breach of these terms.
14. Governing law and disputes
These terms and any dispute arising out of them or out of our services are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Unless an Engagement Agreement provides otherwise, the state and federal courts located in Natrona County, Wyoming have exclusive jurisdiction, and you consent to their jurisdiction and venue.
15. Changes
We may update these terms from time to time by posting a revised version on this page. Continued use of the Website after a change means you accept the revised terms. Changes do not affect an Engagement Agreement already signed.
16. General
If any provision is held unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights under these terms without our consent.
